Profile
Vaughn is a partner practising in the areas of securities and corporate finance and corporate/commercial law. His practice focuses on advising issuers and investment dealers with respect to securities law matters generally, with an emphasis on corporate finance, mergers and acquisitions and securities compliance matters. Vaughn regularly acts on a variety of securities and corporate finance transactions representing public and private issuers and investment dealers, including public offerings and private placement financings for early stage and mature companies, public and private mergers and acquisitions, including take-overs, business combinations and Capital Pool Company transactions, and stock exchange listings. He also advises issuers and investment dealers on a variety of general securities and corporate law matters, including public company securities law compliance and corporate governance issues. Vaughn has experience acting on behalf of clients in a variety of industries including the mining and technology sectors.
Vaughn currently serves as a director of San Anton Resource Corporation (TSX: SNN) and Hinterland Metals Inc. (TSX-V: HMI). He is also a member of the Local Advisory Committee (Ontario) of the TSX Venture Exchange. Vaughn was the contributing author to Halsbury’s Law of Canada – Securities, and is an adjunct professor of law at the University of New Brunswick where he teaches Corporate Transactions.
Background
Prior to joining Wildeboer Dellelce LLP in early 1999, Vaughn articled and was an associate with a major Atlantic Canadian law firm in Halifax, Nova Scotia. Vaughn has been a frequent speaker at the TSX Venture Exchange’s “Success Workshop” in Toronto and has spoken at a number of legal conferences for the CBA. He chaired the Canadian Bar Association Continuing Legal Education conference “Securities Law: Everything Old and New You Need to Know” in May, 2001 and co-chaired the CBA CLE conference “A Securities Law Primer” in April, 2000.Education
