Articling Student Program
As our firm has evolved, so has our articling program. We see our articling students as the firm’s future. From the day you accept an articling position with Wildeboer Dellelce, you are part of our team.
The articling year will be an intense period of learning for you. We take our responsibility to provide you with outstanding legal training very seriously and we take great pains to ensure that you work in a friendly environment that is conducive to asking questions and receiving feedback on your progress through both formal and informal mentoring.
Compensation
Our articling students’ compensation is matched to that of the large Bay Street law firms. We also provide our students with a tuition bonus for 3rd year of law school, two weeks of paid vacation, an extended healthcare plan, a dental plan, and life insurance. We will pay your Bar Admission Course fees and your salary during self-study period of the Bar Admission process.
We also provide a $12,000 interest free "hireback loan" to our students to help them fund travel plans between the completion of their articles with us and joining us as lawyers.
Type of Work
As an articling student, you will work with lawyers in providing both general advisory and transaction-specific legal services in the following areas:
Securities Transactions
You will represent companies, advisers and other market intermediaries in relation to:
- domestic and cross-border prospectus offerings
- special warrant transactions
- private placements and other exempt offerings
- stock exchange listings
- derivative securities transactions
- take-over bids, issuer bids and related party transactions
- independent director committee advisory work
- registration issues for market intermediaries
- applications to and hearings before the Ontario Securities Commission
Corporate and Commercial Transactions
You will represent vendors, purchasers and their principals in relation to:
- domestic and cross-border share and asset acquisitions and divestitures, amalgamations, arrangements and other similar transactions
- joint ventures and partnerships
- commercial real estate-based transactions, financings and leasing
- licensing distribution, marketing and franchising arrangements
- shareholders’ agreements
- conducting both contested and uncontested shareholder meetings, proxy solicitations for both management and dissidents, and the negotiated settlement of shareholder and other commercial disputes
Banking and Other Secured Transactions
You will represent borrowers, guarantors, lenders and other creditors in relation to:
- operating and term credit facilities, banker's acceptances, letters of credit, commercial paper programmes, currency and interest rate swap agreements
- specific purpose acquisition financings, bridge financings, mezzanine financings, leveraged buy-outs and restructuring transactions
- guarantees and other financial assistance transactions
- real and personal property security documentation
- construction and development financings
- purchase money mortgage financings
Taxation Matters
You will represent entrepreneurs, investors and firms, as well as accounting and other professionals in relation to:
- domestic and cross-border corporate tax planning, restructurings and reorganizations
- personal tax planning and implementation of tax-related transactions
- structuring corporate finance and M&A transactions
