Jeff Hergott is a partner at the firm and Co-Chair of the Cannabis Practice Group and practices in the areas of corporate finance, mergers and acquisitions and corporate/commercial law. Jeff has experience representing issuers, investment dealers, private equity firms and other stakeholders in a wide variety of capital markets and M&A transactions. He regularly advises clients on both public offerings and private placements of equity and debt securities, across a broad section of industries, including cannabis, mining, oil and gas, renewable energy, biotech and technology sectors.
Jeff’s M&A experience includes advising clients in respect of public and private share and asset acquisitions, take-over bids, arrangements and joint ventures and also includes advising clients in connection with going-public transactions such as initial public offerings, qualifying transactions and reverse take-overs. In the course of his practice, Jeff also routinely advises public companies with respect to continuous disclosure and corporate governance matters.
Jeff has extensive experience in the cannabis industry. He represents a range of cannabis industry participants including licensed producers and applicants, licensed dealers, cannabis equipment manufacturers and distributors, family offices and broker dealers. Jeff has acted as lead counsel in a variety of transactions, including advising Tokyo Smoke with its early stage financings, to its public listing through a merger with DOJA Cannabis and ultimately its sale to Canopy Growth Corporation. Jeff is recognized as a leading practitioner in the 2019 Chambers Canada guide - Cannabis Law.
