Difference Capital Financial Internalizes Management Structure

Difference Capital Financial Inc. (“DCF”) completed its previously announced acquisition (the “Internalization Acquisition”) of Difference Capital Inc. (“DCI”), the parent company of Difference Capital Management Inc. (“DCM”). In connection with the Internalization Acquisition, DCF terminated its management agreement with DCM, without penalty. The Internalization Acquisition which was to internalize the management structure of DCF, was subject to regulatory approvals and was negotiated and approved by a special committee of independent directors of DCF.

Wildeboer Dellelce acted for DCF in connection with the Internalization Acquisition with a team that included Perry Dellelce, Jeff Hergott, Jamie Bregman, Davia Wang (corporate/securities), Geoff Cher (regulatory) and Kevin Fritz (tax).
