Wildeboer Dellelce Represents Caldas Gold Corp. in $85 Million Private Placement Offering and Proposed Change in Board and Management

Caldas Gold Corp. (TSX-V: CGC) (OTCQX: ALLXF), a Canadian junior mining company currently advancing a major expansion and modernization of its underground mining operations at its Marmato Project in Colombia, completed a non-brokered private placement offering of 37,777,778 subscription receipts at a price of $2.25 per subscription receipt, for aggregate gross proceeds of approximately $85,000,000. Each subscription receipt will convert and entitle the holder thereof to receive one unit of Caldas Gold, with each unit comprising one common share and one common share purchase warrant of Caldas Gold, upon the satisfaction of certain escrow release conditions. Each warrant will be exercisable to acquire one additional common share of Caldas Gold until July 29, 2025 at a price of $2.75 per common share. The offering was with a group of investors principally referred by Aris Gold Corporation and will result in changes to the management and the board of directors of Caldas Gold, as well as a change in the name of Caldas Gold to “Aris Gold Corporation”.
